These Terms and Conditions govern your access to and use of the tools, applications, and services provided by PPCVERSE LLC ("PPCVERSE," "we," "us," or "our") through our website and any associated subdomains. By registering for an account or using any of our tools, you agree to be bound by these Terms. If you do not agree, do not use our services.


1. Acceptance of Terms

By creating an account and accessing any PPCVERSE tool or application, you confirm that you have read, understood, and agree to these Terms and Conditions in full. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.


2. Description of Services

PPCVERSE provides a suite of performance marketing diagnostic tools and applications designed to help businesses analyze paid advertising data, identify performance issues, and surface optimization opportunities. Our tools are provided for informational and analytical purposes only. Nothing produced by our tools constitutes professional marketing, financial, or legal advice.

Our tools may include integrations with artificial intelligence systems, including AI assistants that can access your advertising data through standardized protocols such as the Model Context Protocol (MCP). These integrations are optional features that you may enable at your discretion. When enabled, they allow AI systems to retrieve and analyze your advertising data in the context of AI-assisted conversations, as described further in Sections 5 and 6.

We reserve the right to modify, suspend, or discontinue any tool or feature at any time, with or without notice.


3. Account Registration

To access our tools, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at mail@ppcverse.com if you suspect any unauthorized use of your account.

You may not create an account on behalf of another person without their explicit authorization, share your account credentials with third parties, or create multiple accounts to circumvent any restrictions we apply.

Where our tools allow you to generate access tokens for integrations such as MCP connections, you are solely responsible for maintaining the security of those tokens. An MCP access token grants its holder access to your advertising data through our services. You must treat it with the same level of care as your account password. If you believe an access token has been compromised, you must revoke it immediately through your account settings and generate a replacement. PPCVERSE is not liable for any unauthorized access to your data that results from the disclosure or compromise of an access token you are responsible for securing.


4. Acceptable Use

You agree to use our tools solely for lawful business purposes in connection with managing and analyzing your own paid advertising accounts or accounts for which you have explicit authorization from the account owner.

You may not use our tools or services to:

  • Access or analyze advertising accounts for which you do not have authorization
  • Attempt to reverse-engineer, decompile, or extract the underlying logic, algorithms, or source code of any PPCVERSE tool
  • Scrape, copy, or reproduce any output, data, or content from our tools for redistribution or resale without our written consent
  • Introduce malicious code, conduct denial-of-service attacks, or otherwise interfere with the integrity or operation of our services
  • Circumvent any authentication, access controls, or usage limits we implement
  • Use our tools in any manner that violates applicable laws or regulations
  • Share MCP access tokens or integration credentials with parties who are not authorized to access the underlying advertising accounts

Our tools display and analyze data for viewing and diagnostic purposes. You are solely responsible for any decisions you make based on the information presented, including decisions made with the assistance of AI systems connected to our services.


5. Third-Party Platform and Service Integrations

Our tools integrate with third-party platforms and services in order to deliver their core functionality. These include advertising platforms, payment processors, and AI service providers. Your use of features that rely on these integrations is subject to the terms and privacy policies of the respective third parties in addition to these Terms.

5.1 Advertising Platform Integrations

Our tools integrate with the Meta Ads API and may integrate with other third-party advertising platforms. By connecting your advertising account to our tools, you authorize PPCVERSE to access data from those accounts on your behalf in accordance with the permissions you grant.

We are an independent service provider and are not affiliated with, endorsed by, or in any way officially connected to Meta Platforms, Inc. or any other advertising platform.

We are not responsible for:

  • Outages, disruptions, rate limits, or changes to the Meta Ads API or any other third-party API
  • Changes Meta or any other platform makes to their data structures, permissions, or API behavior that affect the accuracy or availability of data within our tools
  • Any actions Meta or other platforms take in relation to your advertising account, including suspension or termination
  • Discrepancies between data shown in our tools and data shown natively within the advertising platform's own interface

Advertising platform data is inherently subject to reporting delays, attribution windows, and platform-side updates. We make no representations that data displayed within our tools is real-time, complete, or fully accurate at any given moment.

By connecting an advertising account, you represent and warrant that you are the authorized owner or administrator of that account, or that you have obtained explicit authorization from the account owner to connect it to our services. You are solely and fully responsible for the truth of this representation.

5.2 AI Service Integrations

Our tools may offer optional integrations with third-party artificial intelligence services, including AI assistant platforms and large language model providers such as Anthropic, PBC (maker of Claude) and other similar AI service providers that may be supported in the future (collectively, "AI Providers"). These integrations allow AI systems to access your advertising data through our services in the context of AI-assisted conversations and analysis.

By enabling an AI integration — for example, by generating an MCP access token and connecting it to an AI assistant — you are directing PPCVERSE to make your advertising data available to the AI Provider you have chosen to connect. At that point, your data is transmitted to and processed by that AI Provider in accordance with their own terms of service and privacy policy, which you should review independently before enabling the integration.

We are not affiliated with, endorsed by, or in any way officially connected to Anthropic, PBC or any other AI Provider. We are not responsible for:

  • How AI Providers process, store, retain, or use data transmitted to them through your chosen AI integration
  • The accuracy, completeness, or appropriateness of any analysis, output, or recommendation produced by an AI system using your advertising data
  • Outages, changes, or discontinuation of any AI Provider's services or APIs
  • Any actions an AI Provider takes with respect to data you direct us to share with them

You are solely responsible for reviewing and agreeing to the terms and privacy policies of any AI Provider whose services you choose to connect to our tools. Enabling an AI integration constitutes your informed consent to the data flows described in this section.


6. Data Collection and Storage

When you connect an advertising account to our tools, we collect and store the following data to enable the functionality of our services:

  • Your account registration information, including name and email address
  • Meta access tokens used to authenticate API requests on your behalf
  • Advertising account IDs associated with your connected accounts
  • Campaign data retrieved from connected advertising accounts, including but not limited to campaign names, ad set data, budget information, performance metrics, and creative identifiers
  • Access tokens generated for optional integrations such as MCP connections, stored in hashed form and never in recoverable plaintext
  • Billing and payment information necessary to process subscription payments, processed and stored by our third-party payment processor, Stripe, Inc. (see Section 9)
  • Information you voluntarily submit through contact, support, or lead-capture forms on our website or tools

We use third-party service providers to support our website and tools, including payment processing, website analytics, advertising measurement, and cookie consent management. These providers may process limited data on our behalf as described in our Privacy Policy.

We store this data to power your account dashboard, enable historical analysis within our tools, process payments, and improve the performance of our services.

We do not sell your personal data or your advertising account data to third parties. We do not use your advertising account data for any purpose other than operating and improving the services you have signed up for.

When you enable an optional AI integration such as an MCP connection, your advertising data will be transmitted to the AI Provider you have selected in the course of your AI-assisted conversations. This transmission is initiated by you and occurs on your instruction. PPCVERSE does not control how the receiving AI Provider handles that data once transmitted, and their handling of it is governed by their own privacy policy. If you do not wish your advertising data to be transmitted to an AI Provider, do not enable AI integrations or generate MCP access tokens.

Meta access tokens are stored securely and are used solely to make authorized API requests on your behalf. You may revoke our access at any time through your Meta account settings, which will invalidate the stored token. Note that revoking access will disable the functionality of any connected tools.

We do not store full payment card numbers. Payment card data is collected and processed directly by Stripe in accordance with Stripe's own security standards and is never transmitted to or stored on our servers.

7. Intellectual Property

All tools, applications, interfaces, content, branding, and underlying technology provided by PPCVERSE are the exclusive property of PPCVERSE LLC and are protected by applicable intellectual property laws.

Your use of our services does not grant you any ownership over any part of our tools, nor any license to reproduce, distribute, or create derivative works from our services or their outputs beyond what is necessary for your own internal business use.

Any feedback, suggestions, or ideas you submit to us regarding our tools may be used by PPCVERSE without obligation or compensation to you.


8. Free Services

Certain tools are offered at no charge and do not require payment. We reserve the right to introduce paid tiers, modify the features available under free access, or transition currently free tools to a paid model at any time, with reasonable notice where practicable.

Free tools are provided subject to all other terms of this agreement, including the disclaimers and limitations of liability described in Sections 11 and 12.


9. Subscriptions, Billing, and Payment

9.1 Paid Plans. Certain tools are offered on a paid subscription basis. Pricing is displayed within the applicable tool or account dashboard at the time of purchase and is subject to change as described in Section 9.6.

9.2 Per-Account Pricing. Where applicable, subscription fees are calculated based on the number of advertising accounts you actively select for analysis within your account settings. Your subscription quantity, and the corresponding fee, will automatically increase or decrease as you select or deselect advertising accounts. Changes to your subscription quantity take effect immediately and are billed on a prorated basis for the remainder of your current billing cycle. You are responsible for managing your account selections to control your subscription cost, and we encourage you to review your selected accounts regularly.

9.3 Payment Processing. All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you authorize PPCVERSE and Stripe to charge the applicable fees to your designated payment method. You represent that you are authorized to use the payment method provided.

9.4 Automatic Renewal. Paid subscriptions automatically renew on a recurring monthly basis until cancelled. By subscribing, you authorize us to automatically charge your payment method on file at the start of each billing period for the then-applicable subscription fee, without further authorization from you for each renewal, until you cancel.

9.5 Cancellation. You may cancel your subscription at any time through your account billing settings or by removing all selected advertising accounts. Cancellation will take effect at the end of your current billing period. You will retain access to paid features through the end of the period you have already paid for. We do not provide partial refunds for unused time within a billing period except as expressly required by applicable law or at our sole discretion.

9.6 Price Changes. We reserve the right to change our pricing at any time. We will provide at least thirty (30) days' notice of any price increase affecting your active subscription, via email or in-app notification. Continued use of the applicable paid tool after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription prior to the change taking effect.

9.7 Failed Payments. If a payment fails or is declined, we may suspend your access to paid features until payment is successfully processed. We may make multiple attempts to process payment using the payment method on file. Continued failure to remit payment may result in suspension or termination of your account in accordance with Section 14.

9.8 Taxes. Fees stated within our tools do not include any applicable sales, use, value-added, or similar taxes unless explicitly stated. You are responsible for any such taxes associated with your purchase, where applicable.

9.9 Refunds. Except as required by applicable law, all subscription fees are non-refundable, including for partial billing periods, unused accounts, or dissatisfaction with the service. If you believe you have been billed in error, contact us at mail@ppcverse.com before initiating a chargeback or dispute with your bank or card issuer, as described in Section 10.


10. Billing Disputes and Chargebacks

If you believe a charge to your payment method was made in error or without authorization, you agree to contact us first at mail@ppcverse.com so that we may investigate and resolve the issue directly. We aim to respond to billing inquiries promptly and in good faith.

Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us, where the charge was authorized under these Terms (including recurring charges under Section 9.4 and prorated charges under Section 9.2), constitutes a breach of these Terms.

We reserve the right to suspend or terminate your account while a billing dispute or chargeback is under investigation, and to provide records of your account activity, authorization, and these Terms to our payment processor or your card issuer in response to any dispute. We further reserve the right to seek recovery of any costs, fees, or losses we incur as a result of a chargeback later determined to be unwarranted or fraudulent, to the extent permitted by applicable law.


11. Limitation of Liability

To the fullest extent permitted by applicable law, PPCVERSE LLC, its owners, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our tools or services.

This includes, without limitation, any loss of revenue, loss of profits, loss of business, loss of data, or damage to your advertising accounts or campaigns arising from:

  • Decisions made based on data or analysis provided by our tools, including analysis produced with the assistance of AI systems
  • Inaccuracies or delays in advertising platform data
  • API outages or changes made by Meta, any AI Provider, or any other third-party platform or service
  • Unauthorized access to your account or to an access token you are responsible for securing
  • Service interruptions or technical errors
  • Actions, outputs, or omissions of any AI system connected to our services
  • Billing or payment processing errors, delays, or interruptions caused by our third-party payment processor

Our total aggregate liability to you for any claim arising from these Terms or your use of our services shall not exceed the total amount you have paid to PPCVERSE in the twelve months preceding the claim, or one hundred US dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


12. Disclaimer of Warranties

Our tools and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our tools will be uninterrupted, error-free, or free of harmful components, or that any data or analysis produced will be accurate, complete, or suitable for any particular purpose.

This disclaimer extends to any AI-assisted analysis, recommendations, or outputs produced through optional integrations with AI Providers. AI systems can produce inaccurate, incomplete, or misleading results, and any outputs they generate using your advertising data are not representations or warranties of PPCVERSE.

You assume full responsibility for any use you make of information or analysis provided by our tools or by AI systems connected to our services.


13. Indemnification

You agree to defend, indemnify, and hold harmless PPCVERSE LLC, its owners, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of our tools and services
  • Your breach of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Your connection of an advertising account to our tools without proper authorization from the account owner
  • Any decisions, actions, or business outcomes resulting from your use of data or analysis provided by our tools, including analysis generated by AI systems you have connected to our services
  • Your enabling of any AI integration and the resulting transmission of your advertising data to an AI Provider
  • The compromise or unauthorized use of an MCP access token or other integration credential you were responsible for securing

14. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent or abusive behavior, failed to remit payment owed, or if we discontinue the relevant service.

You may close your account at any time through your account settings or by contacting us at mail@ppcverse.com. Upon closure, all active MCP access tokens and integration credentials associated with your account will be immediately and permanently revoked. If you have an active paid subscription, closing your account will cancel that subscription effective at the end of your current billing period, consistent with Section 9.5. Upon account closure, we will delete or anonymize your personal data in accordance with our Privacy Policy, subject to any data we are required to retain for legal, tax, or compliance purposes.

Termination of your account does not affect any obligations or liabilities incurred prior to termination, including any outstanding payment obligations.


15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, pandemics, strikes, internet or telecommunications failures, or outages, changes, or failures of any third-party platform, API, or service we rely on, including Meta, Stripe, Anthropic, any other AI Provider, or other infrastructure providers.


16. Modifications to These Terms

We may update these Terms and Conditions at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, including changes affecting billing or your rights under these Terms, we will make reasonable efforts to notify registered users via email or an in-app notification. Your continued use of our services after any changes take effect constitutes your acceptance of the updated Terms.


17. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming. You consent to personal jurisdiction in those courts and waive any objection to venue.


18. General Provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy and any additional terms presented to you at the point of purchase for paid services, constitute the entire agreement between you and PPCVERSE regarding your use of our services, and supersede any prior agreements between you and PPCVERSE on this subject.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, without restriction.
